In no event shall the aggregate liability of Aab Immigration Inc. exceed the total amount paid by you, if any, to Aab Immigration Inc. for the Services during the twelve-month period preceding the event giving rise to the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Aab Immigration Inc., its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees and expenses) arising out of or relating to: (a) your violation or breach of these Terms or any applicable law or regulation; (b) your use of the Website or Services, including any data, content, or material transmitted or received by you; (c) your violation of the rights of any third party, including intellectual property, privacy, or contractual rights; or (d) any claim that your use of the Website or Services caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate fully with our defense of such claim. You shall not settle any claim that affects Aab Immigration Inc. without our prior written consent.

9. Third Party Links and Resources

The Website may contain links to third-party websites, services, or resources that are not owned, operated, or controlled by Aab Immigration Inc. These links are provided solely as a convenience to you and do not imply any endorsement, sponsorship, or affiliation by Aab Immigration Inc. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services.

You acknowledge and agree that Aab Immigration Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, and the federal laws of Canada applicable therein, without giving effect to any conflict of law principles that may result in the application of the laws of another jurisdiction.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the courts of competent jurisdiction located in Winnipeg, Manitoba, Canada. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Notwithstanding the foregoing, Aab Immigration Inc. retains the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant jurisdiction.

11. Changes to These Terms

Aab Immigration Inc. reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website and updating the effective date at the top of this page. In the case of significant revisions that materially alter your rights or obligations under these Terms, we will make reasonable efforts to notify you, which may include sending an email to the address associated with your account or displaying a prominent notice on the Website.

Your continued use of the Website after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the updated Terms. If you do not agree to the new Terms, you must discontinue use of the Website and the Services. We recommend that you periodically review these Terms to remain informed of any updates.

12. Termination

These Terms shall remain in full force and effect while you use the Website or the Services. We may terminate or suspend your access to the Website and the Services immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including without limitation if you breach any provision of these Terms.

Upon termination of your access to the Website, your right to use the Website will immediately cease. The provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Termination shall not relieve you of any obligation to pay fees or costs accrued prior to the date of termination.

13. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreement or statement of work executed between you and Aab Immigration Inc., constitute the entire agreement between you and Aab Immigration Inc. concerning your use of the Website and the Services, superseding all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter contained herein.

No waiver by Aab Immigration Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Aab Immigration Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect. The invalidity, illegality, or unenforceability of any provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

15. Waiver

No waiver by Aab Immigration Inc. of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The failure of Aab Immigration Inc. to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Aab Immigration Inc. to be effective.

16. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without the prior written consent of Aab Immigration Inc. Any attempted assignment or transfer in violation of this section shall be null and void. Aab Immigration Inc. may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

17. Force Majeure

Aab Immigration Inc. shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecommunications disruptions, governmental actions, embargoes, or public health emergencies. In such circumstances, the time for performance shall be extended for a period equal to the duration of the force majeure event.
